Unit Synopsis

LAWS13009 Corporations Law examines the various business structures available under Australian law, with a particular focus on companies. Topics include partnerships, corporate personality; the incorporation process; the corporate constitution; company contracts; administration of companies and management of the business of companies; duties and liabilities of directors and officers; share capital and membership; members’ remedies; company credit and security arrangements; and winding up of companies. This unit meets the LPAB requirements for company law.

Prerequisite: 48 credit points of law including LAWS11057.

Important note: Students enrolled in a subsequent unit who failed their pre-requisite unit, should drop the subsequent unit before the census date or within 10 working days of Fail grade notification. Students who do not drop the unit in this timeframe cannot later drop the unit without academic and financial liability. Attendance Requirements

All on-campus students are expected to attend scheduled classes - in some units, these classes are identified as a mandatory (pass/fail) component and attendance is compulsory. International students, on a student visa, must maintain a full time study load and meet both attendance and academic progress requirements in each study period (satisfactory attendance for International students is defined as maintaining at least an 80% attendance record).

Each 6-credit Undergraduate unit at CQUniversity requires an overall time commitment of an average of 12.5 hours of study per week, making a total of 150 hours for the unit.

This is a graded unit: your overall grade will be calculated from the marks or grades for each assessment task, based on the relative weightings shown in the table above. You must obtain an overall mark for the unit of at least 50%, or an overall grade of ‘pass’ in order to pass the unit. If any ‘pass/fail’ tasks are shown in the table above they must also be completed successfully (‘pass’ grade). You must also meet any minimum mark requirements specified for a particular assessment task, as detailed in the ‘assessment task’ section (note that in some instances, the minimum mark for a task may be greater than 50%).

Assessments in the subject will continue to be based on emerging and topical issues in Corporate Law (particularly the major assignment).
Action Taken
Successful continuation of this strategy. The major assignment in particular focused on a current issue in duties owed to a corporation based on recent precedents.

Podcasts
Recommendation
Podcasts were a significant means of communication for the subject. Students can listen to these in their own time. Podcasts are kept to 10 minute limits and discreet topics. Podcasts will continue to be further developed and refined next time.
Action Taken
Podcasts further refined and developed this year to reflect weaknesses and strengths of the cohort. The improvements are reflected in the comments of a student who noted the difference.

Skills based assessment
Recommendation
Assessments in the subject will continue to emphasize required Graduate Skills and Attributes, focusing on advocacy and legal methodology for constructing and communicating arguments.
Action Taken
Assessments continued to focus on developing GAs - including ability to provide a legal opinion using advocacy skills. The major assessment in particular is a moot problem, which requires students to rely on their communication skills to persuade an examiner of the correctness of their legal opinion. For next year, additional podcasts will be added specifically to further address advocacy skills/correct legal method.

Tutorial problems
Recommendation
More tutorial problems will be developed for the tutorials in 2025.
Action Taken
More tutorial problems were developed as flagged. Further, to provide students with sufficient practice and to allay student concerns about returning to a handwritten, invigilated exam, further podcasts were developed addressing exam preparation and exam performance. Additionally, tutorials were developed as examination practice sessions as well. This was well received by the students and provided them with greater confidence heading into their exam.

Feedback regarding difficulty of providing a legal opinion on content not already covered.
Recommendation
Ensure more announcements (more than three next time) on the fact that the assignment is a research assignment, intended to test students' ability to research a topic in the subject area as part of external accreditation body's requirements. As such, the assignment will necessarily have to cover matters not covered in classes before the due date for the assessment.
